NDR InvIT Trust has filed draft papers with SEBI for a ₹750 crore public issue to transition from a private to a public InvIT. The proceeds will be used to acquire new warehousing assets and strengthen its logistics presence across India.

NDR InvIT Trust, a warehousing-focused infrastructure investment trust backed by global investment firm Investcorp, has filed its Draft Offer Document (DOD) with the Securities and Exchange Board of India (SEBI) for a public issue worth ₹750 crore. This move marks the trust's transition from a private InvIT to a publicly listed entity, offering retail and institutional investors a chance to participate in India's growing logistics and warehousing sector.

Utilization of IPO Proceeds

The primary objective of this fresh issue is to fund the acquisition of additional warehousing assets. By expanding its portfolio, NDR InvIT aims to diversify its holdings across major industrial and consumption hubs in India. The trust currently manages a significant portfolio of Grade-A warehouses, which are in high demand due to the rise of e-commerce and organized retail.

What is an InvIT?

For retail investors, an Infrastructure Investment Trust (InvIT) works similarly to a mutual fund but for infrastructure projects. It pools money from investors to invest in income-generating assets like roads, power plants, or in this case, warehouses. InvITs are required by SEBI regulations to distribute at least 90% of their net cash flows to unit holders as dividends or interest, making them a potential source of regular income.

The logistics sector in India has seen a massive transformation following the implementation of GST and the push for 'Make in India.' NDR InvIT’s decision to go public reflects the increasing institutional interest in high-quality logistics spaces.
